These Terms govern your use of this website and the services provided by American Business Partners LLC, operating the service brand OpenYourCompany.org ("we", "us").

Our services

We provide business formation and related consultancy services, including company formation in Wyoming and Delaware, registered agent and US business address services, document preparation, banking and payments guidance, bookkeeping coordination, and introductions to licensed professionals and investment funds.

We are not a law firm, accounting firm, tax adviser, bank, or government agency. Where you engage legal, tax, trademark, or notarial services through us, those services are performed by independently licensed professionals, and your relationship for those services is with the professional providing them.

What we do not guarantee

Government agencies, financial institutions, and third-party platforms make their own decisions. We do not control and do not guarantee the approval of any bank account or payment platform, processing times set by any state or the IRS, or the outcome of any trademark matter or introduction to an investment fund or adviser.

Forming a company does not by itself provide any particular tax outcome.

Your responsibilities

You are responsible for providing accurate and complete information, for the lawful use of any company we form for you, and for meeting the ongoing obligations that apply to your company. You confirm that you are legally permitted to own a US company and that the information you provide is truthful.

We may decline or discontinue service to anyone, including where required by applicable verification or compliance obligations.

Fees

Fees are quoted before work begins. Government filing fees are set by the state and are additional to our service fees unless stated otherwise. Fees are payable in advance unless agreed otherwise in writing.

Limitation of liability

To the fullest extent permitted by law, our total liability for any claim relating to our services is limited to the amount you paid us for the specific service giving rise to the claim. We are not liable for indirect, incidental, or consequential losses, including lost profits or business opportunities.

Changes

Before work begins

If you cancel before we have started work on your engagement, your service fee is refunded in full.

After work begins

Once we have begun preparing your documents or filing with the state, service fees are non-refundable. Where only part of a multi-service engagement has been started, we refund the portion that has not been started.

Government and third-party fees

State filing fees, registered agent fees, and any other amounts paid to a government agency or third party on your behalf are non-refundable once paid, because those amounts are not returned to us.

Outcomes outside our control

Because government agencies, banks, and platforms make their own decisions, refunds are not available on the basis that a bank account or third-party approval was delayed or not granted. We complete the work we agreed to perform.

How to request a refund

Email info@openyourcompany.org with your name and the service concerned. We respond within one business day and process approved refunds to the original payment method.
